TagPro User Agreement (Terms of Service)

By creating an account, accessing, or using TagPro ("Service"), you ("User", "Client", "Customer") confirm that you have read, understood, and agreed to these Terms of Service ("Agreement"). If you do not agree to these terms, you must not use the Service.

TagPro is a Software-as-a-Service (SaaS) platform designed to assist users in monitoring broadcast streams, detecting advertisements, verifying proof-of-airing, archiving audio, and generating reports ("Monitoring Services"). TagPro provides tools for stream monitoring, campaign scheduling, detection analytics, and reporting based on audio recognition and matching technologies.

The User acknowledges and agrees that the accuracy and performance of TagPro depends on the information and data submitted by the User. The User is fully responsible for the following:

• 3.1 Station Stream Responsibility — The User is responsible for ensuring that the radio station stream links (URLs) provided to TagPro are correct, valid, accessible, stable, legally obtained, and continuously online. TagPro acts as an assistant monitoring tool, and the User remains responsible for maintaining the stream availability.
• 3.2 Campaign Setup Responsibility — The User is responsible for creating and configuring campaigns, including but not limited to campaign dates, station assignments, commercial uploads, schedule settings, detection rules, and spot timing settings. Any reporting generated by TagPro is based on the campaign configuration provided by the User.
• 3.3 Commercial Uploads and Assignments — The User is responsible for uploading the correct commercial audio file(s) and assigning them to the correct campaign and station(s). TagPro is not responsible for mismatches caused by incorrect uploads, wrong campaign assignments, or incorrect station selection.

TagPro commits to providing a stable and professional monitoring service.

• 4.1 System Availability — TagPro is responsible for maintaining platform stability and system status to ensure monitoring and detection processes are operational.
• 4.2 Detection Engine Operations — TagPro is responsible for running its detection engine and processing campaigns based on user-defined settings.
• 4.3 Notifications of Technical Issues — If TagPro experiences technical issues or system glitches affecting monitoring or reporting, TagPro will notify the User through the available channels (email and/or in-app notifications).

The User acknowledges that TagPro's detection accuracy may be affected by external factors beyond TagPro control, including but not limited to stream interruptions, weak audio streams, bitrate compression, audio processing effects, noise, modifications, buffering delays. TagPro is not responsible for detection loss caused by stream quality or interruptions.

• 6.1 User Content — The User confirms that all commercial content, audio materials, logos, trademarks, and campaign assets uploaded into TagPro are legally owned or authorized for use by the User.
• 6.2 TagPro Content Disclaimer — TagPro is not responsible for the content of any commercial, the legality of any advertisement, the message or claims within commercial audio, or copyrighted material uploaded by the User. The User assumes full legal responsibility for uploaded content.

TagPro is not a radio streaming service, broadcasting platform, or entertainment streaming provider. TagPro does not distribute content publicly. TagPro's purpose is strictly limited to monitoring and verification for analytics and reporting.

• 8.1 Confidentiality Commitment — TagPro will keep User data confidential and will not share User campaign data, reports, commercial files, station details, or detection analytics with any third party.
• 8.2 Authorized Access Only — No party may access the User's data unless the User grants authorization, the User shares access credentials, or access is required for technical support as requested by the User.
• 8.3 Legal Disclosure — TagPro may disclose User information only if legally required by court order or applicable regulation.

• 9.1 Accuracy Guarantee — TagPro accuracy is expected to be 100% only when the station stream and uploaded commercial files comply with TagPro's internal quality standards ("Quality Policy"), including clear audio, stable bitrate, correct format requirements, and correct matching commercial sample.
• 9.2 Quality Policy Compliance — If the User submits a low-quality commercial file or monitors a low-quality station stream, detection accuracy may be reduced. TagPro is not responsible for inaccurate results caused by low-quality input data.

• 10.1 Ticket System — All technical support requests must be submitted through TagPro's ticketing system.
• 10.2 Support Response — TagPro will respond to support tickets within a reasonable timeframe depending on service plan, system workload, and issue severity.

TagPro provides automated alerts including stream offline alerts, stream recovery alerts, silence detection alerts, missing spot alerts, campaign reports, and billing notifications.

11.1 Email Deliverability Responsibility — The User is responsible for ensuring TagPro emails are not blocked, filtered, or delivered to junk/spam folders. The User must whitelist TagPro email addresses and domains to ensure accurate delivery of alerts and reports. TagPro is not responsible for missed alerts due to email filtering by the User's email provider.

• 12.1 Subscription Billing — TagPro services are billed based on subscription plans, credit packages, and/or usage-based monitoring.
• 12.2 No Refund Policy — TagPro does not provide refunds once the User account is created and the service is activated, except in cases where the service was not delivered as promised due to a verified TagPro system failure.
• 12.3 Credit Consumption — Detection credits are consumed based on usage. Credits are non-transferable and may expire depending on subscription rules.

The User is responsible for keeping login credentials secure and preventing unauthorized access. TagPro is not responsible for losses resulting from compromised user credentials.

TagPro reserves the right to suspend or terminate access if the User violates this Agreement, illegal content is uploaded, abusive activity is detected, fraudulent payments occur, or misuse is suspected.

The User agrees not to use TagPro for illegal monitoring, piracy, reverse-engineering, abuse of resources, or any use violating applicable laws.

All software, technology, algorithms, UI/UX design, detection models, and system infrastructure remain the intellectual property of TagPro.

TagPro is not responsible for indirect damages including advertising losses, missed campaigns, lost revenue, station failures, reputation losses, or interruptions. TagPro's total liability is limited to the amount paid by the User during the active subscription period.

TagPro provides services "as is" and "as available." Uninterrupted operation cannot be guaranteed due to technical limitations and external dependencies.

TagPro may update this Agreement. Continued usage means acceptance of updated terms.

This Agreement shall be governed under the laws of the United Arab Emirates unless otherwise stated in writing.
